By accessing or using Ufro Music, creating an account, or subscribing to any plan, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Service.
2. Who We Are
Ufro Music is owned and operated by WeCode IT Technology Limited (“WeCode IT”, “we”, “us”, or “our”), which develops and maintains the Service and related products.
3. Applicability of These Terms
These Terms apply to:
- Listeners who stream or download content through Ufro Music;
- Subscribers to any free or paid plan;
- Artists, creators, labels, and rights holders who upload, manage, or monetize content;
- Visitors to our website, web player, or related pages; and
- Anyone using features, tools, or services provided through Ufro Music.
Additional terms may apply for specific services (for example, artist agreements, distribution agreements, or promotional campaigns). If there is a conflict between these Terms and any additional terms, the additional terms will govern for that specific service.
4. Eligibility
- You must be at least the minimum age of digital consent in your country (for example, 13, 16, or 18) or use the Service under the supervision and consent of a parent or legal guardian, where allowed by law.
- You must have the legal capacity to enter into a binding contract with WeCode IT or have a parent/guardian do so on your behalf.
- By using the Service, you represent and warrant that you meet these eligibility requirements.
5. Your Account
5.1 Account Registration
- You may need to create an account to access certain features of Ufro Music.
- You agree to provide accurate, current, and complete information during registration and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account, whether or not authorized by you.
If you believe your account has been compromised, notify us promptly at support@ufromusic.com.
6. Subscriptions, Payments & Trials
6.1 Subscription Plans
Ufro Music may offer free and paid subscription plans with different features and limitations. We reserve the right to introduce new plans, modify existing plans, or discontinue plans, provided that such changes apply on a going-forward basis.
6.2 Billing & Payment
- If you subscribe to a paid plan, you authorize us and our payment processors to charge your selected payment method for applicable subscription fees and taxes.
- Subscription fees are typically billed in advance on a recurring basis, unless otherwise stated at purchase.
- You agree to maintain accurate billing and payment information. If a payment fails, we may suspend or downgrade your access until payment succeeds.
6.3 Renewal & Cancellation
- Subscriptions automatically renew at the end of each billing cycle unless canceled before renewal.
- You may cancel through account settings or the platform used for purchase.
- Cancellation prevents future charges but typically does not entitle you to a refund for the current billing period, except where required by law.
6.4 Free Trials & Promotions
- We may offer free trials or promotional pricing. Eligibility, duration, and conditions will be explained at sign-up.
- If you do not cancel a free trial before it ends, your account may convert to a paid subscription and be charged automatically.
- We may modify or discontinue free trials or promotions at any time in our sole discretion.
7. Use of the Service & License
Subject to your compliance with these Terms, WeCode IT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use and to stream and, where available, temporarily download content for offline listening on authorized devices.
You agree not to use the Service for unauthorized public performances, broadcasting, or commercial purposes; copy, reproduce, distribute, or publicly display content beyond these Terms; record or capture streams for permanent storage outside the Service; modify, create derivative works from, or sell content; or remove proprietary notices.
8. User Content
Ufro Music may allow you to submit playlists, likes, favorites, recommendations, reviews, comments, profile materials, audio, artwork, and metadata. Collectively, this is “User Content”. Musical works, sound recordings, and associated materials you own or control are “Artist Content”.
8.1 Your Representations
By submitting User Content, you represent and warrant that you have all necessary rights and licenses, that the content does not infringe third-party rights, and that it complies with applicable laws and these Terms.
8.2 License for Non-Music User Content
For User Content that is not Artist Content, you grant WeCode IT a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and publicly display the content, and to create derivative works as necessary to operate, promote, and improve the Service.
This license exists solely to enable the functioning and promotion of the Service and continues while the content is available. Some residual copies may remain in backups or caches after removal.
8.3 License for Artist Content (Music)
You retain full ownership of all intellectual property rights in Artist Content. Nothing in these Terms transfers ownership to WeCode IT.
By submitting Artist Content, you grant WeCode IT a limited, worldwide, non-exclusive license, and where necessary the right to sublicense technical and distribution partners, solely to host, store, encode, transcode, technically process, reproduce and stream it to users, enable offline playback where available, display associated artwork and metadata, and use reasonable excerpts and artwork for in-service discovery and recommendations.
This is not a transfer of ownership or a grant of general royalty-free rights outside operation and promotion of the Service. It remains subject to applicable royalty, revenue-sharing, distribution, or partner arrangements. We will not exploit Artist Content outside operating and promoting the Service without separate permission or agreement.
The license continues while Artist Content is available, except for a reasonable removal period and residual backup or log copies maintained for security, compliance, or audit purposes.
9. Artist & Rights Holder Accounts
Artists, labels, distributors, and rights holders confirm they have the necessary rights to distribute content through the Service, are responsible for accurate and lawful uploads and metadata, and agree to any additional artist or distribution terms. Ufro Music is not responsible for third-party ownership, royalty, or rights disputes unless agreed in writing.
10. Prohibited Conduct
You agree not to use the Service illegally; violate laws; circumvent DRM or security; use unauthorized bots or scripts; introduce harmful code; infringe others’ rights; collect personal information without consent; or post unlawful, defamatory, harassing, hateful, misleading, or inappropriate User Content. We may investigate and suspend or terminate accounts for suspected violations.
11. Third-Party Services
The Service may integrate with or link to payment processors, mobile operators, analytics providers, social media platforms, and other third-party services. We are not responsible for third-party content, terms, or practices. Use of third-party services is at your risk and subject to their policies.
12. Intellectual Property Infringement
If you believe content on Ufro Music infringes your rights, send a notice to support@ufromusic.com with the subject “IP Infringement Notice”. Include your contact information, a description of the work, the location of the allegedly infringing content, a good-faith statement, an accuracy and authority statement, and your signature.
We may remove or disable content and terminate repeat infringers where appropriate and required by law.
13. Termination & Suspension
We may suspend or terminate access if you violate these Terms or policies, law or an authority requires it, we discontinue the Service, or we detect fraud, abuse, or suspicious activity. You may stop using the Service or request account deletion where available.
Upon termination, your right to use the Service ends and we may delete or deactivate account data in accordance with the Privacy Policy and legal obligations. Provisions intended to survive termination remain effective.
14. Disclaimers
To the maximum extent permitted by law, the Service and all content are provided on an “AS IS” and “AS AVAILABLE” basis. WeCode IT does not guarantee that the Service will be uninterrupted, secure, error-free, or that defects will be corrected.
WeCode IT disclaims express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
15. Limitation of Liability
To the fullest extent permitted by law, WeCode IT and its directors, officers, employees, partners, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or other intangible losses arising from your use of or inability to use the Service.
To the extent permitted by law, our total aggregate liability for claims relating to the Service or these Terms is limited to the amount you paid us for the Service in the three months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless WeCode IT and its officers, directors, employees, agents, affiliates, and partners from claims, liabilities, damages, losses, and reasonable legal expenses arising from your use of the Service, your User Content, your violation of these Terms or law, or your violation of third-party rights.
17. Changes to the Service
We may modify, update, or discontinue features, functionality, or content at any time and are not obligated to maintain any feature. Where required by law, we will provide notice of significant changes.
18. Changes to these Terms
We may update these Terms to reflect changes in the Service, our practices, or applicable laws. For material changes, we will provide appropriate notice. Continued use after changes take effect constitutes acceptance; if you do not agree, you must stop using the Service.
19. Governing Law & Dispute Resolution
These Terms and disputes arising from them or the Service are governed by the laws of Zambia, without regard to conflict-of-laws principles unless another law is mandatorily applicable.
You and WeCode IT agree to the exclusive jurisdiction of courts located in Zambia unless applicable law provides otherwise.
20. Miscellaneous
- Entire agreement: These Terms, the Privacy Policy, and referenced additional terms constitute the entire agreement about the Service.
- Severability: If a provision is invalid or unenforceable, remaining provisions stay effective.
- No waiver: Failure to enforce a right is not a waiver.
- Assignment: You may not transfer rights or obligations without our written consent. We may assign these Terms in connection with a merger, acquisition, asset sale, or operation of law.
